Seller Agreement
Seller Agreement — a template: have a Nigerian lawyer review it before you rely on it.
1. Our role
The marketplace is a platform that connects sellers and buyers and collects payments on the seller’s behalf. The contract of sale is between the seller and the buyer. The marketplace is not the seller of listed items.
2. Eligibility and verification
You must be at least 18 and either an individual resident in Nigeria or a registered business. You confirm that all information and documents you provide are true, and you agree to identity verification. We may refuse or end any account.
3. Listings
You may list only genuine, unexpired, sealed items that you are entitled to sell. Cosmetics must carry a valid NAFDAC registration number where required by law. Items on the Prohibited Items list may not be listed. We may review, edit, hide or remove listings at any time.
4. Commission and fees
A commission is deducted from the item price of each sale. The rate that applies to you is shown on the Sell page and in your dashboard and may differ by category. We may change rates with prior notice; the rate at the time of the order applies to that order. There are no listing fees.
5. Orders and shipping
After the buyer pays, you must ship promptly and add the courier and tracking number in your dashboard. A sale is complete when the buyer confirms delivery or automatically after the confirmation period shown in your dashboard.
6. Payouts
Earnings (item price minus commission, plus any delivery fee you charge) become available after the holding period following delivery. You may request a payout above the minimum amount. Payouts are made only to a Nigerian bank account in your own (or your registered business) name. You are responsible for your own taxes.
7. Returns, refunds and disputes
Buyers may request a return for damaged, wrong or not-as-described items. We review requests fairly and may refund the buyer. Refunds for valid claims are deducted from your balance; if your balance is insufficient you agree to repay the difference.
8. Conduct
No fake reviews, price manipulation, off-platform payment requests, harassment or misuse of buyer data. Buyer contact details may be used only to fulfil the order.
9. Data protection
We process your personal data (including ID and bank details) under the Nigeria Data Protection Act 2023 to verify you, run the marketplace, pay you and meet legal duties. ID numbers and bank account numbers are encrypted; documents are stored privately and accessed only by authorised staff.
10. Suspension and termination
We may suspend or terminate your account for breach, fraud, counterfeit goods or legal reasons, and may withhold earnings to cover refunds or losses. You may close your store at any time after completing open orders.
11. Liability
To the extent permitted by law, we are not liable for indirect losses. You indemnify us against claims arising from your listings and conduct.
12. Changes and governing law
We may update this agreement; you must accept new versions to keep listing. This agreement is governed by the laws of the Federal Republic of Nigeria.
